Ekaterina specializes in Russian corporate and contract law, as well as in the legal regulation of foreign investments.

She has extensive experience in organizing and conducting comprehensive legal due diligence of Russian and foreign organizations (including in construction, investment and banking, real estate management, and high‑tech industries). She provides legal support for complex cross‑border and domestic transactions (financing, venture investments, construction, and others) and advises clients on labour and migration law, as well as data‑protection legislation.

Corporate law and M&A

Ekaterina advised:

A transaction involving the acquisition by the client of shares in TFM‑GARANT, the owner of one of the largest Russian leasing groups financing acquisitions of rolling stock, automotive and special equipment, industrial machinery, air and water vessels, and commercial real estate, with total assets valued at about RUB 300 billion;

The owner of one of the largest Russian leasing groups similarly engaged in financing the above‑mentioned asset classes, with total assets of about RUB 300 billion;

A transaction for the acquisition of investment units of a closed‑end combined investment fund holding shares in CENTRE FOR PORT INFRASTRUCTURE DEVELOPMENT, a transport‑sector leader and owner of major ports and companies, with total assets of about RUB 170 billion;

A transaction for the acquisition of the company DonBioTech, including comprehensive legal due diligence of land plots and unfinished construction objects for a future grain‑processing complex in Volgodonsk (Rostov Oblast), as well as support for the deal to acquire 100% of the shares in the company‑owner of the assets, with a total transaction value of over RUB 25 billion;

DOM.RF in the acquisition of the bank Rossiyskiy Kapital and the SU‑155 group of companies, within a project valued at over RUB 700 billion;

A project for the construction and operation of a methanol plant in Leningrad Oblast, with a total project budget of about RUB 120 billion;

A transaction for the acquisition of a group of companies engaged in the production and sale of industrial and medical gases;

A transaction for the acquisition of a group of companies in the beverage‑production sector, with a total deal value of about RUB 1.2 billion;

A transaction for the sale of the Karakade leasing‑companies group, with a deal value of about RUB 3 billion;

A transaction for the acquisition of a group of companies whose main asset is software for online ticket sales and payment acquirer services;

A transaction for the acquisition of a plant manufacturing oil and gas pipeline valves, including preparation of transaction documentation (share purchase agreement, shareholders’ agreement, options, and other documents).

Joint ventures (JV)

Ekaterina advised:

A joint venture developing a tourist‑and‑gambling zone in Crimea, with a total project value of RUB 50 billion;

The establishment of a joint venture that is an industry leader in linear‑infrastructure construction, with a budget of RUB 100 billion;

A transaction to form one of the largest joint‑venture infrastructure companies in Russia, including comprehensive legal due diligence (due diligence) of 17 companies implementing large‑scale infrastructure projects across the country, with a total project value of about RUB 100 billion;

A major chemical holding on antitrust‑compliance matters to identify risks of violations of competition legislation;

An innovative company specializing in the development and production of LED panels on deal‑structure design and transaction‑document preparation, with a project value of RUB 2.5 billion;

A client on corporate‑governance and commercial‑operations matters in view of anti‑Russian sanctions, including analysis of Australian sanctions prohibiting the import and transportation of Russian coal, with assets exceeding RUB 15 billion.

Due diligence (DD)

Ekaterina advised:

A deep‑grain‑processing plant producing compound feeds, gluten, and amino acids, including comprehensive legal due diligence and subsequent transaction support, with total assets exceeding RUB 11 billion.
