Alexander is distinguished in corporate law, with a focused expertise in guiding M&A transactions, business restructuring, and redomiciliation.

Besides, Alexander advises clients on structuring corporate governance systems, establishing joint ventures and co-investment structures (notably in the form of closed-end mutual investment funds and investment partnership agreements), as well as creating long-term incentive programs (LTIP, ESOP).

Selected Experience

Alexander advised:

the establishment of a joint venture for the construction and operation of large hotel complexes in the Russian Federation, with the total project value exceeding RUB 20 billion;

an investment fund on a transaction involving investment of up to RUB 6 billion in a major agro‑industrial holding;

a leading European seed producer on the acquisition of a majority stake in a Russian agro‑industrial group and the establishment of a joint venture based on it;

a holding company combining major chemical production facilities on the acquisition of several Russian chemical companies with an aggregate value exceeding RUB 50 billion;

Russian asset management in buy‑outs from foreign investors exiting the Russian market, including full support of the procedure for obtaining approvals of the Sub‑commission of the Government Commission for Control over Foreign Investments;

one of the major players in the Russian packaging materials market on the acquisition of corrugated and polymer packaging plants, including support in obtaining necessary approvals;

foreign companies on redomiciliation to Russia, including a “transit” redomiciliation of the holding company of a systemically important Russian credit institution;

major financial and industrial companies on the development and implementation of option and long‑term incentive programmes for top management and key employees;

Russian companies and investment funds on business restructuring at the level of foreign and Russian holding companies, taking into account existing sanctions and Russian counter‑measures;

a major construction materials manufacturer on restructuring, including the establishment of a closed‑end unit investment fund (ZPIF), creation of a corporate governance system at the ZPIF level, and transfer of operating companies into it.
