Vyacheslav is a recognized expert with extensive experience in drafting and negotiating global M&A transactions, complex cross-border disputes and resolving special situations requiring complex solutions under the conditions of increased complexity and crisis factor.

Vyacheslav manages large multi-jurisdictional and interdisciplinary projects and represents interests of large national and international holdings and private clients. Business owners, top managers of companies and officials often turn to Vyacheslav for strategic advice on complex issues that require not just a combination of traditional legal expertise, but often non-trivial solutions taking into account the interests of national security and geopolitical factors.

Having a qualification of a solicitor of England and Wales, a lawyer in the USA law (New York State) and a Russian lawyer, as well as experience working in developed and major emerging markets, Vyacheslav provides assistance to his clients regardless of the geographical location of their issues.

Resolution of international disputes and investigations

Vyacheslav advised:

the largest metallurgical group, in a global commercial dispute involving more than 15 jurisdictions; the team acted as the main coordinating consultant;

a principal, in connection with unfair claims in the High Court of Justice of England and Wales in order to establish control over a large block of shares in a leading Russian industry company;

a principal, as part of an investigation into corruption schemes, including forced disclosure of information to support foreign proceedings against an opponent, a large Western corporation, in connection with its illegal activities in various countries;

a principal in connection with the unlawful confiscation and subsequent resale of a significant asset by a foreign country, including support for international investigations and lawsuits in a number of jurisdictions;

a principal, in a criminal case processed in the USA in connection with alleged violation of the US sanctions regime;

a major Russian businessman, in connection with the submission of an application to OFAC for the exclusion of the principal and their business assets from the US sanctions list, including subsequent assistance while interacting with the regulator;

a principal, in connection with the negative international media campaign against the principal and his business abroad;

a gold mining company, with a public offering of shares on the London Stock Exchange in connection with a corporate conflict over the largest mining asset in the Russian Federation, with the subsequent successful settlement of the conflict and the restoration of full control over the asset;

a large financial technological holding. in a corporate dispute with minority shareholders in the GCC region;

a technology company, the largest one in its sector in a series of commercial disputes in the Russian Federation and abroad amounting to more than USD 1 bln;

a large Russian holding company, in a corporate dispute with the largest European state-run company.

Transactional experience

Vyacheslav advised:

an UHNI, on the issues of structuring the ownership of private and business assets in the Russian Federation and abroad, as well as on the issues of developing and implementing a strategy for the acquisition and unfreezing significant private assets;

a large international financial technological company, in connection with the split-up of its international and Russian businesses, the strategy of deconversion of depository receipts (including obtaining licenses from regulators), delisting from American and Russian exchanges, as well as entering alternative exchanges under sanctions, and supporting a Russian legal dispute in connection with challenging the sale of Russian assets to the management;

a leading international fashion group, that unites the largest online retailers on four continents and specializes in clothing and accessories, in connection with the sale of its Russian business;

a leading company in the air cargo transportation market, on the issues of business alienation and reorganization in the UK, EU and the Russian Federation;

a large Russian metallurgical group, in connection with the sale of a large stake in an English public holding company that owns mining assets in the Russian Federation;

a large American media company, listed on NASDAQ due to its withdrawal from the Russian market and termination of a joint venture with a Russian partner;

local management of a company, providing services in the field of commercial real estate, listed on NYSE in connection with buyout of its Russian business by the management;

local management, in connection with the potential purchase of several production facilities in Russia owned by an US company included into the Fortune 500 list;

a UAE public investment and construction company, on the issue of establishment of a joint venture with the Russian public investment fund as part of a major energy infrastructure project in Russia;

a deal, aimed at the acquisition by a consortium of investors of a block of shares in the largest telecom business;

METRO GROUP, on all Russian legal aspects of the sale of the Real business in Eastern Europe to the Auchan Group at EUR 1.1 billion;

The Russian Federation, represented by the Federal Property Management Agency, when making a deal to sell 10% of VTB Bank shares through a private placement of shares and global depositary receipts among investors for the amount of more than USD 3 bln;

a Russian metallurgical company, a borrower, when refinancing the company's debt in the amount of more than USD 4.5 bln;

an energy and mineral resources mining company, as part of the acquisition of a number of regional exploration companies;

a large manufacturing company, when refinancing a debt of USD 500 mln;

an automobile manufacture holding company, when refinancing a syndicated loan in the amount of more than USD 1.5 bln;

a group of investors, when buying a regional food producer;

a sale of one of the largest Russian transport companies;

a major international player in the field of commercial real estate in a deal aimed to purchase Russian assets of the largest real estate investor in Eastern Europe;

a Turkish building contractor, on the issue of joining a project for the construction of a large infrastructure project in the Moscow region under the terms of a public-private partnership, including negotiating with an existing pool of investors in respect of the terms of the principal joining the project, as well as preparing framework documents for the transaction;

one of the largest Russian banks, in a loan deal with a Japanese state-run bank.
