VERBA LEGAL Completes Legal Support of Cross-Border Transaction Worth RUB 8.5 Billion

The VERBA LEGAL team has completed the legal support of a cross-border transaction involving companies from five jurisdictions.

The project was implemented on behalf of an investor and involved the restructuring of indebtedness owed by one of the world’s largest franchised fast-food restaurant chains. The transaction value amounted to approximately RUB 8.5 billion.

The project lasted for more than three years. Changes in the geopolitical environment and the parties’ financial performance required the transaction terms to be reviewed and revised multiple times.

VERBA LEGAL’s lawyers supported the project at all key stages — from structuring the terms of the debt restructuring and the mechanism for performance of obligations to agreeing the debt repayment schedule and documenting the mutual release of claims.
