Petar is a specialist in corporate law, his expertise is focused on M&A transactions, business restructuring, due diligence and due diligence.

In addition, Petar advises clients on structuring corporate governance systems, venture capital investment and redomiciliation, joint ventures and co-investment structures (in particular in the form of closed-end mutual funds) and the application of sanctions legislation.

Selected Experience

Petar advised:

a leading global manufacturer of automotive components on the exit of a foreign investor from the Russian subsidiary, including obtaining approval from the Government Commission for Control over Foreign Investments;

a major American holding – producer of bottled drinking water on exiting the Russian business with asset sale to the current management;

the Russian subsidiary of a major Japanese technology company on corporate law matters, including changes in structure and constituent documents;

a major Dutch company – producer of children's goods on exiting the Russian business with an option for future return of control;

the Russian subsidiary of a paints and varnishes manufacturer and a Russian group of companies (investor in the real sector) in comprehensive legal due diligence;

a Chinese gold mining holding on acquiring a Russian gold mining company, including due diligence on licences and subsoil;

a Russian group of companies on creating a joint venture in the financial services sector;

a Slovak company on the activities of a subsidiary structure in the RF and loan financing, including preparation of documents;

a Cypriot operating company of a Russian bank in a transaction for conditional deposit of documents (escrow) to fulfil a share purchase agreement;

a Cypriot company (game and software developer) in a transaction for sale to a major Russian IT conglomerate.
