The procedure for protecting the rights of preferred shareholders declared unconstitutional

The Constitutional Court (CC) has ruled unconstitutional paragraph 1 of clause 5 of article 32 and clause 3 of article 42 of the Federal Law “On Joint-Stock Companies”. These provisions governed the procedure for protecting the rights of preferred shareholders in cases where the company failed to pay dividends. The case arose from an application by shareholders of PJSC Signal, who held shares with a fixed dividend of 10% of net profit.
