On April 21, 2026, the President of the Republic of Uzbekistan signed the revised version of the Law of the Republic of Uzbekistan “On Limited Liability Companies,” which will replace the current Law No. 310-II dated December 6, 2001, effective from July 22, 2026.
The new Law consists of 71 articles and introduces a significantly expanded corporate governance framework for limited liability companies, including fiduciary duties of management, an extended regime for affiliated persons, and a new threshold for major transactions.
