CAPITAL MARKETS:
Advised the YANDEX Group in the course of its restructuring on the listing of shares of the International Public Joint Stock company Yandex on the Moscow Exchange, registration of the prospectus and issues of different classes of shares;
Initial Public Offering (IPO) of PJSC Yuzhuralzoloto Group of Companies, one of the largest gold mining companies in Russia;
Secondary Public Offering (SPO) of PJSC Yuzhuralzoloto Group of Companies, one of the largest gold mining companies in Russia;
The first IPO of a foreign company in the history of the Russian stock market (United Medical Group, a leading multidisciplinary provider of premium medical services in Russia, operating under the brand name European Medical Centre) with a listing only on the Moscow Exchange (the company's market capitalisation at the date of commencement of trading on the Moscow Exchange was approximately USD 1.125 billion);
IPO of Russia's largest operator of ultra -convenience shops and the third largest grocery retailer in Russia, on the Moscow Exchange;
Advising a group of companies leading in the Atlantic salmon and trout production segment in Russia on certain Russian law issues related to a public offering of shares;
IPO of PJSC APRI, the largest developer in the Chelyabinsk Region in terms of housing commissioning and current construction volume, on the Moscow Exchange;
Listing of shares in an international gold mining company listed on the London Stock Exchange;
Listing of shares in an international non-ferrous metal ore mining company listed on the London Stock Exchange;
Support of the project on issue of bonds of the National Bank for Foreign Economic Activity of the Republic of Uzbekistan in Russia;
Support of a transaction involving the provision of financing in the form of a bond purchase for the purpose of implementing a project to create a secondary resource processing complex;
Supporting the issue of government bonds of the Republic of Belarus in Russia;
Support of three bond issue projects of issuers from the Republic of Belarus in Russia;
Supporting the procedure for making a mandatory share offer in two companies, including preparation of the mandatory share offer and a bank guarantee attached to the mandatory share offer, as well as advising on information disclosure issues;
Provision of legal advisory services to protect the interests of shareholders, preparation of recommendations on amendments to constituent documents optimising the balance of interests of shareholders to participate in the management of subsidiaries;
Supporting the procedure for amending the resolution on issuance of collateralised structured bonds, including liaising with the depositary on holding the general meeting of bondholders;
Support of two transactions involving provision of financing to a specialised company (mortgage agent) for the purposes of purchase of mortgages by the mortgage agent and subsequent issue of mortgage-backed bonds.
