Vasilisа has over 5 years of experience advising on capital markets, corporate, banking and finance law, and mergers and acquisitions (M&A) transactions.

She provides comprehensive support to clients on developing and optimising corporate governance systems, full M&A transaction support including preparation of transactional documentation and legal due diligence, as well as securities projects.

Capital markets

Vasilisa advised:

the YANDEX Group in the course of its restructuring on the listing of shares of the International Public Joint Stock company Yandex on the Moscow Exchange, registration of the prospectus and issues of different classes of shares;

Initial Public Offering (IPO) of PJSC Yuzhuralzoloto Group of Companies, one of the largest gold mining companies in Russia;

Secondary Public Offering (SPO) of PJSC Yuzhuralzoloto Group of Companies, one of the largest gold mining companies in Russia;

IPO of Russia's largest operator of ultra -convenience shops and the third largest grocery retailer in Russia, on the Moscow Exchange;

the project on issue of bonds of the National Bank for Foreign Economic Activity of the Republic of Uzbekistan in Russia;

three bond issue projects of issuers from the Republic of Belarus in Russia;

a bond issue by the parent company of a group leading in the segment of Atlantic salmon and trout production in Russia;

Vasilisa advised::

one of the largest Russian financial groups in connection with a complex legal support of a transaction on providing financing to a company operating in the electric car manufacturing sector;

one of the largest Russian IT companies in connection with a major loan agreement with a major Russian bank;

legal support of the acquisition of a bank in Moscow, including due diligence of the company;

legal support of a number of transactions to attract investors to Russia's largest vertically integrated grain holding;

legal support of a transaction involving the sale of a stake in the authorised capital of a major Russian coal mining company.;

legal support of a transaction involving the acquisition of stakes in companies owning a large fleet of railway wagons, including obtaining the consent of FAS of Russia;

the acquisition of large buildings in Moscow and land plots under them;

the acquisition of a company holding a subsoil use licence for exploration and mining of polymetallic ores at the Sardana deposit and a subsoil use licence for geological exploration, prospecting and mining of polymetallic ores within the Sardina ore cluster;

legal support of transactions involving the acquisition of electronic financial platforms by Moscow Exchange, including due diligence of companies and their assets, as well as preparation of transactional documentation on transactions;

the acquisition of a major Russian insurance company;

the acquisition of a group of companies involved in the shering of electric scooters, bicycles and powerbanks.
