Corporate Disputes
Inna advised:
a minority shareholder in a large-scale corporate conflict involving the largest company in the field of pipeline and onshore construction, encompassing over 70 court disputes with aggregate claims exceeding RUB 3.5 billion; the dispute was settled through a comprehensive settlement agreement;
a shareholder of a hotel complex in a dispute over recovery of the true value of shares; following a judicial expert examination covering 27 real estate objects, over RUB 500 million was recovered;
shareholders of a major IT company in a prolonged corporate conflict aimed at consolidating shares and excluding a hostile shareholder; within the project, damages were recovered from the former general director, transactions were challenged, his personal bankruptcy proceedings were initiated, culminating in a settlement agreement and share consolidation in 2023;
shareholders of an IT company in a corporate dispute related to the return of a trademark transferred to a controlled entity; the objective was achieved through conducting four parallel court proceedings;
founders in recovering damages exceeding RUB 500 million from the former general director of a major development company in the KhMAO; following recovery, his personal bankruptcy proceedings were initiated;
aminority shareholder of a group of companies in the field of design, landscaping, and greening of territories; the dispute was settled through mediation with compensation of RUB 80 million paid to the client;
a client in a dispute over recognition of a business acquisition agreement as sham; as a result of the court proceedings, 100% ownership of the company was preserved;
a participant in an LLC in a dispute over exclusion of a bad faith participant; the developed strategy allowed preservation of the client's share and exclusion of the second participant for creating obstacles to business operations;
a joint-stock company in a case for judicial liquidation on the grounds of impossibility of profit extraction; the claims for liquidation were dismissed;
a beneficiary in a case for recovery of damages in the form of lost profits within bankruptcy proceedings; following re-examination of the dispute (after the cassation complaint was upheld), the court confirmed absence of damages and issued a dismissal order.
Commercial Disputes
Inna advised:
a major federal developer in a dispute with the administration of Khanty-Mansiysk and a state investor company over recognition of ownership rights to an incomplete construction object worth RUB 1.8 billion; the claim was dismissed in all court instances, including the Supreme Court of the Russian Federation;
a client in a dispute with Promsvyazbank over challenging the largest bank commission as of 2024 recovered under Federal Law No. 115; precedent-setting judicial practice wasformed on reducing bank commissions;
Lacoste in a lease dispute with Moscow's largest shopping centre; the dispute was settled through negotiations with the claimant's withdrawal and compensation paid to the client; SuperStep in a lease dispute aimed at exiting a loss-making lease agreement; the agreement was terminated, and the parties' economic claims were settled;
a client in a dispute over recognition of an agreement as invalid due to conclusion under deception; through negotiations involving Avito and the Internet Initiatives Development Fund, a comprehensive settlement agreement was reached with withdrawal of the claim;
a supplier of industrial equipment in a dispute with a Transneft subsidiary over recognition as invalid of a transaction worth RUB 359 million;
a client—a Hong Kong company—in a dispute with a tin mining enterprise over recovery of debt under an investment agreement in the amount of USD 1.4 million;
United Colors of Benetton in a precedent-setting case for judicial termination of a long-term lease agreement due to material change of circumstances during COVID-19; the agreement was terminated based on Article 451 of the Russian Civil Code;
leasing companies, including "Taxi 2412" Company, Russia's largest urban taxi operator, in a comprehensive dispute including corporate and related civil law matters; the proceedings continue following remand for new consideration by the Supreme Court.
