In addition, Marina's expertise also includes advising on counter-sanctions regulation, as well as supporting procedures for obtaining relevant regulatory approvals.
Selected Experience
Marina advised:
an investment fund on a transaction to establish a joint venture for the construction and operation of hotel complexes and related infrastructure (total investment of up to RUB 21.4 billion), including due diligence of assets to be contributed to the joint venture’s authorized capital and preparation of legally binding documentation;
an investment fund on a transaction involving an investment in an agricultural holding company established by Chinese strategic investors, including pre-investment due diligence of the investee and preparation of legally binding transaction documentation;
an international bank on the acquisition of shares of a company licensed to carry out brokerage activities, which allowed the client to mitigate the risks of activity restrictions in the context of sanctions. The transaction consisted of several stages. The transaction support involved the preparation of legally binding documentation and interaction with the Bank of Russia;
a Russian venture fund on a transaction involving the provision of investments to a holding company in the Oil&Gas field (Cyprus), including due diligence of a group of companies (Cyprus, Russia, USA, Germany), analysis of the optimal investment model taking into account counter-sanctions, and preparation of transaction documentation, including a S.A.F.E. agreement;
a major EdTech company in a project to develop and implement a long-term management incentive program, including program structuring taking into account corporate specifics and applicable legislation, preparation of a full set of required documents (incentive program regulations, agreements on accession to the corporate agreement, option calls and other legal instruments), and development of recommendations for the optimal program implementation and ensuring its legal sustainability;
a Russian developer in structuring the acquisition of a stake in a company specializing in artificial intelligence-enabled real estate furnishings;
a Russian group of companies that offer solutions in video surveillance on a project to restructure its corporate framework, involving the transfer of a foreign holding company to the Russian perimeter. The work involved the development and evaluation of various restructuring models, including an analysis of the legal and organizational consequences of redomiciliation of a foreign holding company, and preparation of recommendations for selecting the optimal option taking into account corporate and regulatory restrictions;
a Russian developer on acquisition of a stake in a network of property operators operating in more than 100 cities in Russia and CIS countries;
Russian clients on drafting opinions on the application of restrictive measures imposed by the Russian Federation in the areas of commercial, currency and corporate law.
