VERBA LEGAL Corporate Practice advised the buyer of a group of companies, a major manufacturer of construction materials. The book value of the Group’s assets is about 100 billion roubles.

The negotiation of the transaction terms required significant efforts from all stakeholders. The deal was structured using call options and letters of credit. At the same time, the transaction envisaged not only the payment of the purchase price, but also the repayment of shareholder loans.

The transaction process was complicated by a number of factors, including the need to obtain permits from a number of national and foreign regulators (lengthy negotiations, changes in the business agreements of the parties resulted in the need to update the original permit of the regulator).

The transaction is of great importance for both domestic market and construction industry as a whole.
